Italy is one of the first countries in Europe to implement EU Directive 2019/1151 of the European Parliament and of the Council of 20 June 2019 for the digital incorporation of limited liability companies (LLCs), a process conducted ENTIRELY online under the supervision of a Notary.
The company being incorporated must be based in Italy and the contributions must be made in cash, via bank transfer to the Notary's dedicated account.
The deed can be signed with a DIGITAL SIGNATURE or another type of qualified electronic signature. To enable this method of signing the deed, the Notary can, through the platform, issue a suitable electronic signature to parties who do not have one.
During the process and through the platform, the Notary—in addition to carrying out the usual checks on the legality of the deed and providing specialized legal advice—verifies and certifies the IDENTITY OF THE PARTIES, as well as the validity of the signature certificates used, all of which are also carried out using electronic identification methods with a high level of security.
